1 Agreement & eligibility
By accessing or using the Services you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to both you and the organization. You must be at least 16 years old and able to form a binding contract. If a separate written agreement between your organization and Forma covers the Services, that agreement controls where it conflicts with these Terms.
2 Accounts
You must provide accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at security@forma.page of any unauthorized use. Workspace administrators may manage, access, restrict and remove accounts and content within their workspace.
3 Plans, billing & trials
- Fees. Paid plans are billed in advance on the cycle you select (monthly or annual) and are stated exclusive of taxes, which you are responsible for.
- Renewal. Subscriptions renew automatically at the then-current price unless cancelled before the end of the current term. You can cancel anytime; access continues through the paid period.
- Changes. If you upgrade, changes apply immediately and may be prorated. We may change prices with at least [30] days' notice, effective at your next renewal.
- Refunds. Except where required by law, payments are non-refundable and there are no refunds for partial periods.
- Trials & free tiers. We may offer trials or free tiers, which we can modify or discontinue, and which are provided "as is".
4 Your license to use Forma
Subject to these Terms, Forma grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes during your subscription. All rights not expressly granted are reserved by Forma.
5 Your content
You own your content. As between you and Forma, you retain all rights in the presentations, files, prompts and other material you create or upload ("Customer Content"). You grant Forma a worldwide, non-exclusive license to host, store, reproduce, modify (for formatting and display), transmit and process Customer Content solely to provide, secure and improve the Services and as you direct (for example, when you share or export).
You are responsible for your Customer Content and for having the rights necessary to use it with the Services. Do not upload content you are not permitted to use, or that violates law or third-party rights.
6 AI features & output
The Services include AI features that generate drafts, edits, reviews and other material ("Output") based on your inputs. Subject to these Terms and your compliance with them, as between the parties Forma assigns to you its rights in Output generated for you, and you are responsible for the Output you use.
- Output may be inaccurate, incomplete or not unique — similar inputs can produce similar Output for other users. Review Output before you rely on or distribute it.
- Do not use Output in a way that is misleading, unlawful, or presented as human-authored where that would deceive.
- We do not use your Customer Content to train foundational AI models unless you opt in, and we require our model providers not to train on content submitted through our accounts.
7 Acceptable use
You agree not to, and not to permit anyone to:
- use the Services unlawfully, or to infringe, defame, or violate privacy or IP rights;
- upload malware, or attempt to gain unauthorized access to the Services or other accounts;
- probe, scan, overload, or disrupt the Services, or circumvent usage limits, rate limits or security;
- reverse engineer or copy the Services, except to the extent that restriction is prohibited by law;
- resell, sublicense or provide the Services to third parties except as expressly allowed;
- use the Services to build a competing product, or to train a competing AI model;
- generate content that is harmful, hateful, harassing, sexually exploitative of minors, or otherwise prohibited by our acceptable-use guidelines.
We may suspend or limit access to investigate suspected violations or to protect the Services and other users.
8 Our intellectual property
The Services, including the software, design, templates, models we provide, and the Forma name and logo, are owned by Forma and its licensors and are protected by intellectual-property laws. Except for the license in Section 4, these Terms grant you no rights in our intellectual property.
9 Feedback
If you give us feedback or suggestions, you grant Forma a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
10 Third-party services
The Services may integrate with third-party products (for example identity providers, storage or export destinations). Your use of those products is governed by their terms, and Forma is not responsible for them. Enabling an integration authorizes the exchange of data described at connection time.
11 Confidentiality
Each party may access the other's non-public information. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law and (where permitted) after reasonable notice.
12 Term & termination
These Terms apply while you use the Services. You may stop and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or if required to protect the Services, other users or comply with law. On termination, your license ends; you may export Customer Content for [30] days, after which we may delete it as described in our Privacy Policy. Sections that by their nature should survive (including 5, 8–9, 11, 13–16) survive termination.
13 Disclaimers
THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. FORMA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
14 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. FORMA'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FORMA FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) [USD 100]. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
15 Indemnification
You will defend, indemnify and hold harmless Forma from third-party claims, damages and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.
16 Governing law & dispute resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Please review this section carefully — it affects how disputes are resolved.
Except where prohibited by law, you and Forma agree to resolve disputes through binding individual arbitration administered by [arbitration body, e.g. AAA] under its rules, seated in [venue], rather than in court, and you and Forma waive any right to a jury trial or to participate in a class action. Either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property or unauthorized-access matters. Consumers may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@forma.page. This section survives termination.
17 Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide notice (for example by email or in-product) before they take effect. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Services.
18 General & contact
These Terms, together with any order form and our policies referenced here, are the entire agreement between you and Forma regarding the Services. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
